1. Agreement and scope

These Terms and Conditions (“Terms”) are an agreement between you and PineCloud Labs LLC (“PineCloud Labs,” “we,” “us,” or “our”). They apply when you access or use pinecloudlabs.com and its public pages (the “Website”). By using the Website, you agree to these Terms. If you do not agree, please do not use the Website.

These Terms apply only to the Website unless we expressly state otherwise. Separate terms may govern a PineCloud Labs product, subscription, professional service, or other offering. If separate terms conflict with these Terms, the separate terms control for that product or service.

2. Website information and availability

The Website provides general information about PineCloud Labs, our products, and possible services. We may update, remove, or change Website content at any time. We do not promise that the Website will always be available, uninterrupted, secure, complete, or free from errors.

Website content is provided for general informational purposes. Product features, availability, pricing, and service descriptions may change and are not a binding offer unless included in a separate written agreement accepted by PineCloud Labs.

3. Products and professional services

ArborScout

Your use of ArborScout is governed by the ArborScout Terms of Service, which include important information about AI-generated tree screening and the limits of that service.

TaskWarden

TaskWarden is distributed through Apple’s App Store. Unless a custom license is presented with the app, your license to use TaskWarden is governed by Apple’s Standard Licensed Application End User License Agreement, along with applicable App Store terms.

Custom software work

Contacting us, discussing a project, or receiving preliminary information does not create a client relationship or require either party to proceed. Custom software work begins only when PineCloud Labs and the client enter into a written agreement. That agreement should define the project scope, fees, schedule, ownership, confidentiality, data handling, support, warranties, and any other project-specific terms.

4. Acceptable use

You may use the Website for lawful informational and business purposes. You may not:

• use the Website in violation of applicable law or another person’s rights;
• attempt to gain unauthorized access to the Website, its hosting environment, or related systems;
• introduce malicious code, interfere with Website operation, or bypass security measures;
• use automated methods in a way that places an unreasonable load on the Website; or
• misrepresent your identity, your affiliation with PineCloud Labs, or the source of Website content.

5. Ownership and permitted use

The Website and its original content, branding, designs, graphics, and software are owned by PineCloud Labs or used with permission and are protected by applicable intellectual property laws. Subject to these Terms, we grant you a limited, revocable, nonexclusive right to access and view the Website for its intended purposes.

You may not copy, modify, distribute, sell, license, publicly display, or create derivative works from protected Website content without prior written permission, except where applicable law allows it. Product names, third-party marks, and linked content remain the property of their respective owners.

6. Privacy

Our Privacy Policy explains how we handle information associated with the Website, our business communications, and potential custom software services. Product-specific privacy notices apply to information collected through ArborScout and TaskWarden.

7. Third-party websites and services

The Website may link to third-party websites, app stores, and services. We provide those links for convenience and do not control or endorse all third-party content or practices. Your use of a third-party service is governed by that provider’s terms and privacy policy. PineCloud Labs is not responsible for third-party websites or services.

Our contact form is operated using Formspree. When you submit the form, the information you provide is transmitted to and processed by Formspree so it can deliver your message to PineCloud Labs. Your interaction with that service is also subject to Formspree’s Terms of Service and Privacy Policy.

8. SMS messaging terms

PineCloud Labs uses its business telephone number for conversational business communications with customers and prospective customers. Messages may include responses to questions, scheduling or follow-up information, project discussions, and product or customer-support communications. We do not use this number for automated or promotional messaging campaigns.

By opting in, you agree to receive conversational customer support and business-related text messages from PineCloud Labs, including responses to product questions, scheduling or follow-up information, project discussions, and account-related support. Message frequency varies. Message and data rates may apply. To opt out of SMS messages, reply STOP or CANCEL to any message. For help, reply HELP to any message or contact support at support@pinecloudlabs.com.

You opt in when you initiate a text conversation with PineCloud Labs or otherwise give direct, affirmative consent to communicate with us by text. We do not initiate text messages based only on implied consent. Consent to receive text messages is not a condition of purchasing any product or service. After you opt out, we will not send further text messages unless you provide new consent. Mobile carriers are not liable for delayed or undelivered messages.

We handle mobile numbers and SMS consent as described in our Privacy Policy.

9. Disclaimers

To the fullest extent permitted by law, the Website and its content are provided “as is” and “as available,” without warranties of any kind, express or implied.

PineCloud Labs disclaims implied warranties of merchantability, fitness for a particular purpose, noninfringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that Website content is accurate, complete, current, or suitable for a particular purpose. These disclaimers do not alter warranties expressly provided in a separate product or client agreement, and they do not exclude rights that cannot lawfully be excluded.

10. Limitation of liability

To the fullest extent permitted by law, PineCloud Labs and its owners, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of, or inability to use, the Website. This includes loss of profits, revenue, business opportunities, goodwill, or data, even if we were advised that such damages were possible.

Some jurisdictions do not allow certain warranty exclusions or limitations of liability. In those jurisdictions, these provisions apply only to the extent permitted by law. Product-specific and client agreements may contain different liability terms for the services they govern.

11. Governing law

These Terms are governed by the laws of the State of Louisiana, without regard to conflict-of-law principles. Any dispute relating solely to these Terms or the Website will be brought in a state or federal court with jurisdiction in East Baton Rouge Parish, Louisiana, unless applicable law requires a different location.

12. Changes to these Terms

We may revise these Terms as the Website and our business change. We will post the revised version on this page and update the effective date. Your continued use of the Website after revised Terms take effect means you accept the updated Terms.

13. General provisions

If any part of these Terms is found unenforceable, the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver of our right to enforce it later. These Terms and the Privacy Policy are the entire agreement between you and PineCloud Labs concerning use of the Website, while separate product and client agreements govern their respective subject matter.
